General Questions

How do I get started with Neerambh?+

Reach out through our Contact page with your requirement. We offer a free consultation to understand what you need, confirm the right service and timeline, and share a simple document checklist to begin.

How is pricing decided, and is there a fixed fee?+

Our fees depend on the specific service, your business structure, and its complexity — for example, government fees for incorporation vary by authorized capital and state. Share your requirement and we will give you a clear, itemised quote before any work begins, with no hidden charges.

Do you only work with businesses in Delhi?+

No — GST, income tax, and MCA/ROC filings are handled through central government portals, so we work with businesses and individuals anywhere in India, entirely online. Documents, signatures, and updates are all handled digitally.

How long does a typical service take?+

It depends on the service — GST registration usually takes 3-5 business days, company incorporation 7-10 business days, and ongoing compliance like GST or TDS returns follows monthly or quarterly statutory deadlines. Each service page lists its typical timeline.

Is my financial and business data kept confidential?+

Yes. All documents and business details you share are used only for the service you have engaged us for, handled by our team directly, and not shared with third parties beyond what a filing legally requires (such as submission to a government portal).

Do you work with startups, or only established companies?+

Both. We support first-time founders registering their first company through to established businesses managing ongoing GST, TDS, and statutory compliance — our services are structured to scale with you.

What happens after my filing or registration is complete?+

For one-time services like incorporation or PAN/TAN, you receive your certificate and we brief you on what compliance follows next. For recurring services like GST or TDS returns, we track upcoming due dates and reach out ahead of each deadline so nothing is missed.

What if I'm not sure which service I need?+

Company & LLP Incorporation

Why should I register a company instead of a proprietorship?+

A company has separate legal existence — personal assets are protected from business liabilities.

What is the use of company registration?+

It enables you to open a corporate bank account, raise equity funding, enter contracts, and build investor credibility.

Who can register a Private Limited Company?+

Any two or more individuals (Indian or foreign) aged 18+, with a valid PAN and address proof.

What is a DIN and who needs it?+

Director Identification Number — every proposed director must obtain it before incorporation via SPICe+ or DIR-3.

How long does incorporation take?+

Typically 7–10 working days after submission of SPICe+ form and documents on MCA21 portal.

What is the minimum capital required?+

No minimum paid-up capital is prescribed for Pvt Ltd companies. Even ₹1 is technically valid.

Do I need to file annual returns after incorporation?+

Yes — AOC-4 (financial statements) and MGT-7/7A (annual return) are mandatory every year with the MCA.

Can a foreign national be a director in an Indian company?+

Yes, but at least one director must be an Indian resident (182+ days in India in the previous year).

GST Registration

Why do I need GST Registration?+

It is legally mandatory above the threshold. Without it you cannot collect GST, claim Input Tax Credit, or do inter-state trade.

What is the use of GSTIN?+

Your 15-digit GSTIN uniquely identifies your business on every invoice and lets customers claim ITC on purchases from you.

Who can apply for GST Registration?+

Any individual, firm, company, LLP, trust, or society engaged in supply of goods or services in India.

Is GST registration free?+

Yes. Registration on the GST portal (www.gst.gov.in) is free of cost.

How long does registration take?+

Usually 3–7 working days after document submission, subject to officer approval.

What is the penalty for not registering?+

10% of tax due (minimum ₹10,000) or 100% of tax if found deliberately suppressed.

Can a composition dealer issue a tax invoice?+

No. Composition dealers issue a Bill of Supply; they cannot charge or collect GST.

When does GST registration get cancelled?+

If turnover falls below the threshold, the business is closed, or the taxpayer applies for voluntary cancellation.

MSME / Udyam Registration

Why do I need MSME / Udyam Registration?+

It qualifies you for priority-sector bank loans, lower interest rates, government subsidies, and delayed-payment protections.

What is the use of an Udyam certificate?+

It acts as proof of MSME status for availing schemes like CGTMSE (collateral-free loans), PMEGP, and GeM portal registration.

Who can apply for Udyam Registration?+

Any manufacturing or service business in India meeting the investment and turnover thresholds, regardless of legal form.

Is Udyam Registration free?+

Yes, completely free on the official portal udyamregistration.gov.in. No fees are charged.

Is Udyam different from Udyog Aadhaar?+

Yes. Udyog Aadhaar has been replaced by Udyam Registration (from July 2020). Existing UAM holders had to re-register.

How long is the Udyam certificate valid?+

It has no expiry date. However, you must update details if turnover/investment crosses thresholds.

Can an MSME file cases under MSMED Act for delayed payments?+

Yes. Buyers must pay MSME suppliers within 45 days; failing which they owe compound interest at 3× the bank rate.

Can a company with GST registration get Udyam?+

Yes. GST and PAN data are auto-fetched during registration for verification.

Import Export Code (IEC)

Why is IEC Code mandatory?+

Indian Customs and banks require IEC for clearing import/export shipments and for receiving or making foreign currency payments.

What is the use of an IEC Code?+

It enables customs clearance, DGFT scheme benefits (Advance Authorisation, MEIS/RODTEP), and foreign remittance through banks.

Who needs to obtain an IEC?+

Anyone — individual or business — engaged in import or export of goods or services. Exemptions apply to personal use and government entities.

Is IEC registration free?+

Yes. The government fee is ₹500 (payable online on the DGFT portal). No renewal fee.

Does IEC need to be renewed annually?+

No renewal is required. However, you must update the IEC annually by filing a modification (even with no changes) to keep it active.

Can one business have multiple IECs?+

No. Only one IEC is issued per PAN. It covers all branches and divisions of the entity.

How long does IEC registration take?+

Usually issued within 1–2 working days after submission on the DGFT portal.

What happens if I export without IEC?+

Shipments will be blocked at customs. Bank will not process foreign inward/outward remittances without a valid IEC.
